By accessing or using cedar-mink payment processing services, you agree to be bound by these Terms of Use. If you do not agree to these terms, you should not use our services.

Service Description

cedar-mink provides payment processing infrastructure for businesses operating in the United Kingdom. Our services include terminal systems, transaction reconciliation, analytics, cash management, and payment gateway integration.

Eligibility

Our services are available exclusively to:

  • Registered businesses operating legally within the United Kingdom
  • Individuals aged 18 or older authorised to enter contracts on behalf of a business
  • Entities compliant with applicable financial regulations

Account Registration

To use our services, you must:

  • Provide accurate and complete business information
  • Maintain the security of account credentials
  • Promptly update information when changes occur
  • Notify us immediately of any unauthorised account access

You are responsible for all activities occurring under your account credentials.

Service Fees

Service fees are specified in your service agreement. Fees may include:

  • Monthly subscription charges
  • Transaction processing fees
  • Equipment rental or purchase costs
  • Implementation and integration fees

We reserve the right to modify fees with 60 days' written notice to existing customers. Fee changes do not apply retroactively.

Payment Terms

Fees are billed monthly in advance. Payment is due within 14 days of invoice date. Late payments may result in:

  • Service suspension after 30 days of non-payment
  • Interest charges at the statutory rate
  • Referral to collection agencies

Service Availability

We aim to provide continuous service availability but cannot guarantee uninterrupted access. Service may be temporarily unavailable due to:

  • Scheduled maintenance (typically performed during low-traffic periods)
  • Emergency repairs or security updates
  • Third-party infrastructure failures
  • Events beyond our reasonable control

Acceptable Use

You agree to use our services only for lawful business purposes. Prohibited activities include:

  • Processing transactions for illegal goods or services
  • Money laundering or terrorist financing
  • Fraudulent or deceptive practices
  • Processing payments without proper authorisation
  • Violating card network rules or regulations

Data Security Obligations

As a payment processor, you must:

  • Maintain PCI DSS compliance where applicable
  • Implement reasonable security measures to protect customer payment data
  • Report security breaches to us within 24 hours of discovery
  • Follow data handling procedures outlined in our security documentation

Intellectual Property

All software, documentation, trademarks, and content provided as part of our services remain our property. You receive a limited, non-exclusive licence to use these materials solely for accessing our services.

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, consequential, or incidental damages
  • Our total liability for any claim is limited to fees paid by you in the preceding 12 months
  • We are not responsible for losses caused by factors beyond our reasonable control
  • We are not liable for third-party service failures or interruptions

Indemnification

You agree to indemnify cedar-mink against claims arising from:

  • Your violation of these terms
  • Your violation of applicable laws or regulations
  • Unauthorised or fraudulent transactions processed through your account
  • Your breach of data security obligations

Service Termination

Either party may terminate services with 30 days' written notice. We may terminate immediately if:

  • You breach these terms materially
  • Your account shows fraudulent activity
  • You fail to pay fees for more than 60 days
  • Continuing service would violate applicable laws

Upon termination, you must return all equipment and settle outstanding fees.

Dispute Resolution

Disputes should first be addressed through our customer support channels. If informal resolution fails, disputes will be resolved through:

  • Mediation under the rules of a recognised UK mediation service
  • If mediation is unsuccessful, arbitration or litigation in UK courts

Governing Law

These terms are governed by the laws of England and Wales. You agree to the exclusive jurisdiction of English courts for any disputes.

Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, civil unrest, government actions, or infrastructure failures.

Modifications to Terms

We may modify these terms by providing 30 days' notice via email or account notification. Continued use of services after the effective date constitutes acceptance of modified terms.

Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full force and effect.

Entire Agreement

These terms, together with your service agreement and privacy policy, constitute the entire agreement between you and cedar-mink regarding use of our services.
